How To Invest
An investment in Sun Valley Club, LLC is pursuant to an exempt offering from registration promulgated under Regulation D of the Securities and Exchange Commission Act of 1933, as amended. The offering is under Rule 506(c) and suitable only for "Accredited Investors" as defined under Rule 501(a) of the Act. Each potential investor must be eligible according to Rule 501(a), "Accredited Investor," and be verified before Sun Valley Club accepts a subscription of investment.
Each accredited investor must quality under any one of the following eligibility requirements:
- Individual annual income for the prior two years not less than $200,000, including the current year or $300,000 joint annual income;
- Assets not less than $1,000,000, less the primary residence; or
- Qualified as a sophisticated investor or
- Any natural person holding in good standing one or more professional certifications or designations or credentials from an accredited educational institution that the Commission has designated as qualifying an individual for accredited investor status.
The investment is in a Convertible Debenture Note with a Warrant Option to convert the principal amount of the note into equity in Sun Valley Club, LLC. Investors will subscribe to an minimum of 4 units of $20,000 or a minimum investment of $80,000 and, thereafter, the investor may increase the investment amount in 20,000 increments. The convertible debenture notes will accrue simple interest at the rate of 10.12% annually to be paid in one lump sum at maturity of the note at 60 months and reported as a 1099-INT.
At maturity of the note, the investor can exercise the warrant option to convert the principal note amount to equity in the LLC as a Class C investor and receive a proportionate share of profits, losses, gains and deductions to be reported on a 1065-K1.

1. Complete and submit the registration form to receive investment information.
2. Verify acknowledgement of a Mutual Non-Disclosure Agreement.
3. After receipt of the registration, you will receive access to investment information.
4. You will have an opportunity to ask questions and receive answers.
5. If you decide to invest, you will receive documents including, and not limited to, a Private Placement Memorandum, Subscription Documents, and the Specified Property Supplement.
6. After the subscription documents are returned, the verification process will be completed.
7. Submit payment.
